1. Introduction and Acceptance

These Terms & Conditions ("Terms") constitute a legal agreement between AZAM ESTATE LTD ("Company," "we," "us," or "our") and you ("Client," "you," or "your").

3.2 Real Estate Agency Services

Our real estate services include:

3.3 Service Scope

The specific scope of services will be detailed in individual service agreements. Services are provided on an "as requested" basis and do not include services not explicitly agreed upon in writing.

4. Fees and Payment Terms

4.1 Fee Structure

All fees, charges, and costs will be clearly outlined in the service agreement provided before work commences. Fees may include:

  • Consultation fees

  • Construction or transaction fees
  • Reimbursable expenses

4.2 Payment Terms

  • Payment terms will be specified in the service agreement
  • Initial deposits may be required before work commences
  • Milestone payments are due upon completion of agreed-upon phases
  • Final payment is due upon project completion

4.3 Late Payments

Failure to make payment by the due date may result in:

  • Suspension of services
  • Applicable interest at 8% per annum above the Bank of England base rate (per Late Payment of Commercial Debts Act 1998)
  • Claim for recovery of debt collection costs

4.4 Expense Reimbursement

Client agrees to reimburse reasonable, documented expenses incurred in the performance of services, including professional fees, legal costs, and material expenses.

5. Construction Services Terms

5.1 Building Regulations and Compliance

AZAM ESTATE LTD commits to compliance with:

  • Building Regulations 2010 and amendments
  • Health and Safety at Work Act 1974
  • Construction Design and Management Regulations 2015
  • Environmental and planning requirements
  • All applicable UK and local regulations

5.2 Project Timeline

Construction timelines are estimates based on current information and assumptions. The Company is not liable for delays caused by:

  • Unforeseen site conditions
  • Changes in design or scope requested by Client
  • Weather conditions or natural events
  • Supply chain disruptions
  • Regulatory or planning delays
  • Third-party actions

5.3 Quality Standards

The Company will perform construction work in a professional and workmanlike manner consistent with industry standards. Quality issues must be reported within 14 days of discovery to be addressed as a contractual obligation.

5.4 Variations and Change Orders

Any changes to the original scope of work require written authorization and may result in additional fees and timeline adjustments.

5.5 Site Access and Conditions

Client must provide full access to the construction site and maintain site conditions suitable for safe working.

5.6 Insurance and Liability

The Company maintains appropriate professional and public liability insurance. Client may be required to maintain additional insurance as specified in the service agreement.

6. Real Estate Agency Terms

6.1 Agency Representation

When engaged as an agent, AZAM ESTATE LTD represents the interests of the Client as specified in the agency agreement. Dual agency relationships must be disclosed in writing.

6.2 Property Information

Client warrants that all information provided regarding properties is accurate and complete. Client is responsible for disclosure of material facts and defects.

6.3 Valuation and Appraisal

Property valuations are professional opinions based on market analysis and comparable sales data. Valuations are not guaranteed and actual sale prices may vary. Valuations are valid for 3 months from date of issue.

6.4 Commission and Fees

Real estate commission and fees will be clearly stated in the agency agreement. Commission is typically payable upon successful completion of the transaction.

6.5 Marketing and Listing

AZAM ESTATE LTD will market properties through available channels. Client approves all marketing materials before publication.

6.6 Confidentiality

The Company maintains strict confidentiality regarding Client information and property details, except where disclosure is required by law or applicable regulations.

7. Liability and Limitation of Liability

7.1 Limitation of Liability

To the maximum extent permitted by law, the Company's total liability for any claims arising from services provided shall not exceed the total fees paid by Client in the 12 months preceding the claim.

7.2 Exclusion of Liability

The Company is not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunity
  • Damage to reputation or goodwill
  • Claims arising from events beyond reasonable control

7.3 Professional Indemnity

The Company maintains professional indemnity insurance appropriate for our services. Claims must be made within 6 years of the relevant service date.

7.4 Client Responsibility

Client acknowledges responsibility for independent verification of information and professional advice. The Company cannot be held liable for Client decisions based on our advice.

8. Warranty Disclaimer

8.1 Services Provided "As-Is"

AZAM ESTATE LTD provides services on an "as-is" basis. We make no warranty, express or implied, regarding:

  • Fitness for particular purpose
  • Merchantability
  • Accuracy of valuations or market projections
  • Future property values or market conditions
  • Availability or completeness of services

8.2 No Guarantee of Results

The Company makes no guarantee regarding:

  • Sale of properties
  • Successful project completion
  • Specific investment returns
  • Property condition or quality

8.3 Professional Advice Disclaimer

Services should not be considered as legal, financial, or investment advice. Clients should consult appropriate professionals (solicitors, accountants, financial advisors) for specialized advice.

9. Website Use Terms

9.1 Permitted Use

  3. Unresolved disputes may be escalated to legal proceedings

10.4 Legal Costs

In any legal proceeding, the prevailing party may recover reasonable legal costs and attorney's fees.

10.5 Arbitration Option

Either party may elect arbitration for dispute resolution under UK arbitration rules and procedures.

11. Miscellaneous Provisions

11.1 Entire Agreement

These Terms, together with individual service agreements, constitute the entire agreement between the parties and supersede all previous communications or arrangements.

11.2 Severability

If any provision of these Terms is found invalid or unenforceable, that provision is severed, and the remaining Terms continue in full force and effect.

11.3 Waiver

Failure to enforce any provision does not constitute waiver of that provision or any other rights.

11.4 Confidentiality

Both parties agree to maintain confidentiality of sensitive business and personal information shared during the course of engagement.

11.5 Term and Termination

Service agreements may be terminated by either party with written notice, except where termination would violate ongoing contractual obligations. Termination is effective upon receipt of notice unless a later date is specified.

11.6 Assignment

Neither party may assign rights or obligations under these Terms without written consent of the other party.

Important Notice: Construction projects are subject to inherent risks and uncertainties. Clients should be aware that:

  • Actual costs may exceed estimates due to unforeseen conditions
  • Completion dates may be extended due to circumstances beyond our control
  • Construction quality is subject to industry standards but not guaranteed
  • Clients should obtain appropriate insurance coverage
  • Structural warranties should be obtained from appropriate providers

13. Real Estate Services Disclaimer

Important Notice: Real estate transactions carry inherent risks. Clients should be aware that:
